ABC Bank Takeover Approved: Questions on Public Money
African Banking Corporation (ABC Bank), a mid-tier lender with 12 branches that began as Consolidated Finance Company in 1984 and became a commercial bank in the mid-1990s, has received approval from Kenya’s Competition Authority for sole control by healthcare tycoon Jayesh Umesh Saini Kenya Insights. The approval was granted on September 2026, though the Central Bank of Kenya (CBK) must still conduct its fit-and-proper test Kenya Insights. ABC Bank reported a pre-tax loss of KSh 1.3 billion in recent periods and carries elevated non-performing loans Kenya Insights. ABC's audited 2025 accounts show its core capital was KSh 2.69 billion, which was KSh 307 million short of the KSh 3 billion statutory minimum, with a total capital ratio of 8.78 percent against a required 14.5 percent Kenya Insights.
What Happened: Saini's Background with Public Funds
Saini’s wealth was significantly built through administering medical schemes for teachers, police, and prison officers, where his company, Medical Administrators Kenya Limited (MAKL), processed tens of billions of shillings in public premiums Kenya Insights. Over roughly nine years, the combined arrangements involving Bliss Healthcare and MAKL processed figures in the range of KSh 160 billion or more in public funds Kenya Insights. In 2012, Clinix Healthcare, linked to Saini, received approximately KSh 91.3 million from the National Hospital Insurance Fund’s civil servants’ scheme, with parliamentary investigators finding some facilities non-existent or non-operational Kenya Insights.
What the Approval Means for the Searcher
For depositors, whose money totals KSh 43.6 billion, the acquisition means their savings will sit under new ownership, despite the bank being below its capital floor Kenya Insights. Stephen Mutoro of the Consumers Federation of Kenya has warned that caution should be exercised when banking with ABC after a unilateral acquisition by Saini Kenya Insights.
Options Side by Side: Regulatory Hurdles
The Competition Authority clearance addresses market concentration, not character or the origin of capital Kenya Insights. In contrast, the CBK’s fit-and-proper test must examine the source of the funds, the history of public-fund administration, and the opacity of corporate vehicles Kenya Insights.
Our view is that the CBK must apply its fit-and-proper test rigorously, given Saini's documented history of managing public health financing through opaque vehicles, before allowing the acquisition to proceed.
The regulation and ownership of national banks reflect broader governmental economic oversight.
